6:30 Cocktail Party and Call to order
In attendance: Lucia Provenzano, Jeanne Otis, Kathleen McLaughlin, Maria Purpura, Steve Purpura, Susan Licalzi, Sandra Feuerstein, Dolores Shevlin, Amy Rosenthal, Allan Curran, Sandra Kant, Robert Kant, Ed Maher, Ann O’Neill, Martin Wolf, Caroline Kilbane, Neal Kilbane; Gail Caruso and Mary Mardos from LIMS.
President Neal Kilbane greeted all in attendance and thanked the Board members for their service in the 2017/2018 term, especially retiring Board Members Anne Lambert and Jeanne Otis.
Waived reading of minutes from 2017 annual meeting.
As votes and proxies were being submitted, guests enjoyed hors d’oeuvres and drinks.
Votes were received from 21 of 26 homes.
Judge Sandra Feuerstein was appointed to monitor election results.
The following amendment to the HOA By-Laws Article VIII Board of Directors Section 1, was adopted by a vote of 20 yes, one no, far surpassing the 66 2/3 approval requirement.
“The number of Directors which shall constitute the whole Board shall not be less than three, and not more than five. At all Annual Meetings the Members shall vote and elect Directors whose terms have expired. Directors shall serve two year terms and the Board should allow for at least two but not more than three Directors’ terms to expire in each year. Those Directors whose terms are expiring shall be designated by the Secretary within the Notice of the Annual Meeting sent in accordance with Article VII Section 9. All directors must be a Member of the Association in good standing. As required by law, each Director shall be at least twenty-one years of age.”
Therefore, the maximum number of Captain’s Walk Board Directors will be 5, rather than 7.
The two directors receiving the most votes in this election will be elected for two year terms. The remaining directors elected in this election are elected for one year terms. In 2019 those elected to fill those seats will be elected to two year terms. Terms will be staggered according to that pattern going forward.

When the new Board convened, the following positions were agreed upon unanimously:
